This Digital Content License and Use Agreement ("Agreement" or "DCLUA") governs the access to and use of digital products, educational content, and proprietary materials ("Products") provided by Velastion Enterprises, LLC ("Company," "we," or "Pinpoint Education"). This Agreement is incorporated by reference into the PinpointEducation.com Terms of Service and forms part of the binding agreement between the Company and any purchaser or user ("Purchaser" or "User").
By purchasing, downloading, accessing, or otherwise using any Product, you agree to be bound by this Agreement. For clarity, a “purchase” refers to any confirmed digital transaction (free or paid) where the User receives access to a Product or Service, including through a checkout page, opt-in form, or bundled offering.

You're agreeing to use the digital materials provided by Pinpoint Education for your own personal learning. Sharing, copying, or teaching from them requires a separate written license. By proceeding, you also agree not to misuse or violate this agreement—unauthorized use may be subject to legal enforcement.
Not without written permission. The materials are protected and can’t be used in your business, classes, or publications unless you have a valid content license from Pinpoint Education—or other written permission from the author(s) of the material.
It depends on the product. Some purchases include lifetime access, while others are limited by time or subscription. Check your specific course or bundle for details.
Important: If you close or accidentally delete your account before completing a course, your progress may be lost. Only completed courses with issued CE certificates are kept on file for six years.
Digital materials are non-refundable. Physical items may be eligible for return or refund based on the third-party vendor’s return policy. If so, you’ll need to contact the third-party vendor directly to request and coordinate your return or refund.

Upon valid purchase, the Company grants the User a limited, non-transferable, non-sublicensable, single-user license to access and use the Product for personal educational use only. This license does not grant any rights to teach, share, publish, or adapt the content.
The User may not:
• Share, resell, reproduce, publish, or distribute the Product or its components in any form;
• Teach, adapt, or present the instructional format, proprietary terms, or course structures derived from Pinpoint Education materials without a written content license issued by Pinpoint Education or other written authorization from the course author(s);
• Use any Company materials in a commercial context or to compete with Pinpoint Education;
Remove copyright notices or claim Company content as your own.
Attribution to Pinpoint Education is required unless the materials are explicitly marked ‘Copyright Free'. Violations may result in account suspension, content license revocation, and legal action.
Products may be offered standalone or as part of a Bundle, Subscription, or Upgrade:
• Bundle: Packaged combination of multiple Classes or Products.
• Upgrade: Additional content or features offered during or after a transaction.
• Subscription: Recurring payment model for time-limited access.
• Lifetime Access: Non-expiring access to a specified Product.
• Limited-Time Access: Access expires after a defined period. Missed deadlines may require re-purchase.
Access duration is determined by the terms at the time of purchase. Refer to product-specific descriptions and Terms of Service Section 12 for definitions.
Users must provide valid payment information and are responsible for completing all required payments. Declined payments may result in revoked access. If access was granted before a failed transaction, Company may collect outstanding payments or suspend access.
All digital Products are non-refundable. This includes Online Classes, downloadable materials, video or audio recordings, eBooks, PDFs, or any content accessed via the Site or user dashboard. Access, download, or viewing—whether in whole or in part—constitutes final delivery.
Refunds for physical Goods are governed by the return policies of the third-party vendor from which they were fulfilled. If eligible, Users must contact the vendor directly to request and coordinate any return or refund. Additional fees such as shipping, restocking, or payment processing (including credit card and Stripe fees) may apply and will be deducted from any approved refund. Pinpoint Education bears no responsibility for return shipping or packages left unattended at the delivery address.
Refunds or cancellations for all or part of an Upgrade or Bundle may be forfeited if any digital Product or Online Class contained within has been accessed. If the User retains part of an Upgrade or Bundle, any discount received will be voided, and the User will be responsible for the full original price of the retained items. The relevant refund and cancellation terms for each individual component (Class, Product, or Goods) remain in effect.
All Subscription payments are non-refundable. Users may cancel their Subscription or adjust payment frequency at any time. Access continues through the end of the current billing cycle. It is the User’s sole responsibility to complete any desired Class, download any materials or certificates, and secure proof of completion before canceling. No access will be reinstated after cancellation without a new Subscription or applicable access fee.
Any Product or Class designated as “Lifetime Access” is non-refundable. Access is provided as-is at the time of purchase and does not include automatic updates unless otherwise stated that updates are included.
For any “Limited-Time Access” Product or Class, no refunds will be granted. The User is responsible for retrieving content or completing the Class within the allotted time. Missed access windows may require a new purchase or additional access fee.
The Company is not responsible if a User deletes their Site account before downloading or claiming their purchased content, including certificates or proofs of completion. If an account is deleted, the Site may not retain progress records or completion history. A $20.00 (USD) administrative fee will apply to each certificate requiring manual reissuance following account deletion. Proof of transaction and, if applicable, proof of successful course completion (e.g., passing required Online quizzes or assessments) may be required. If no record of completion exists, the User may be required to retake and pass all required assessments to qualify for reissuance.
Users with accessibility needs are encouraged to email support@pinpointeducation.com if an accommodation is required. Pinpoint will make reasonable efforts to provide accessible alternatives within 30 days.
6. Personal Information
Users must provide accurate personal and billing information when making a purchase. Inaccurate data or unauthorized use of a Product may result in account suspension and loss of access.
Products are provided ‘as-is’ without warranty of any kind. The Company disclaims all implied warranties, including merchantability or fitness for a particular purpose. In no event shall Company liability exceed the purchase price of the Product.
In addition, the User agrees to indemnify and hold harmless the Company from any claims, liabilities, or damages arising out of misuse or unauthorized distribution of the Product. The Company shall not be liable for indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities.
The Company is not liable for delays or non-performance due to causes beyond its control, including but not limited to natural disasters, illness, strikes, or platform outages.
The Company does not guarantee specific results from use of its Products. Results vary based on individual use and application.
Users acknowledge that Products are created for a general audience and may yield different outcomes for each User. They are not substitutes for legal, medical, or business advice.
This DCLUA, along with the Terms of Service and Privacy Policy, constitutes the entire agreement between the User and Company. Modifications must be in writing and signed by both parties.
This Agreement shall be governed by the laws of New York State. Disputes are subject to binding arbitration in New York, NY, in accordance with the Terms of Service Section 27.
Disputes shall be resolved first through mediation. If unresolved, they shall proceed to binding arbitration under the American Arbitration Association rules. Each party bears their own legal costs.
